1. Agreement to terms
By accessing or using the Carril Agency website ("Site") and services, you agree to be bound by these Terms of Service. If you do not agree, please do not use the Site or engage our services.
2. Services
Carril Agency provides web design, development, branding, digital marketing, and AI integration services. The specific scope, deliverables, timeline, and fees for each engagement are defined in a separate proposal or statement of work agreed upon by both parties before work begins.
3. Proposals and acceptance
All proposals and quotes are valid for 30 days from the date of issue unless otherwise stated. A project begins once the client has accepted the proposal in writing (including email) and the agreed deposit has been received.
4. Payment terms
- A deposit (typically 50%) is required before work begins unless otherwise agreed.
- Remaining balances are due upon project completion or according to the milestone schedule outlined in the proposal.
- Invoices are payable within 14 days of issue.
- Late payments may incur a fee of 1.5% per month on the outstanding balance.
- We reserve the right to pause or suspend work on any project with overdue payments.
5. Client responsibilities
Clients agree to:
- Provide all required content, assets, access credentials, and feedback in a timely manner.
- Designate a single point of contact for project communications.
- Review deliverables and provide feedback within the agreed timeframe (typically 5 business days per review round).
Delays caused by late content, feedback, or approvals may affect the project timeline and are not the responsibility of Carril Agency.
6. Revisions and scope
Each project includes the number of revision rounds specified in the proposal. Additional revisions or changes outside the original scope will be quoted separately and require written approval before work proceeds.
7. Intellectual property
- Upon full payment, the client receives ownership of the final deliverables as specified in the proposal.
- Carril Agency retains the right to use work samples in our portfolio, case studies, and marketing materials unless otherwise agreed in writing.
- Third-party assets (stock images, fonts, plugins) are subject to their own licence terms. We will inform clients of any third-party licences that apply.
- Source files, working files, and intermediate concepts remain the property of Carril Agency unless explicitly included in the deliverables.
8. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives the termination of the agreement. Confidential information does not include information that is publicly available or independently developed.
9. Termination
- Either party may terminate an engagement with 14 days written notice.
- If the client terminates, fees for work completed up to the termination date are due in full. The deposit is non-refundable.
- If Carril Agency terminates, we will deliver all work completed to date and refund any fees paid for undelivered work.
10. Limitation of liability
Carril Agency's total liability for any claim arising from or related to our services is limited to the total fees paid by the client for the specific engagement in question. We are not liable for indirect, incidental, or consequential damages, including lost profits, data loss, or business interruption.
11. Warranties
We warrant that our services will be performed with reasonable skill and care. We do not guarantee specific results, rankings, traffic, or revenue outcomes. Websites and digital products are delivered "as is" after final client approval.
12. Hosting and maintenance
Unless a separate maintenance agreement is in place, Carril Agency is not responsible for website hosting, uptime, security updates, or ongoing maintenance after project handoff. We offer maintenance plans as a separate service.
13. Force majeure
Neither party is liable for delays or failure to perform caused by events beyond reasonable control, including natural disasters, pandemics, government actions, internet outages, or third-party service failures.
14. Governing law
These terms are governed by the laws of the United Arab Emirates. Any disputes arising from these terms or our services will be resolved through good-faith negotiation. If negotiation fails, disputes will be submitted to the courts of Dubai, UAE.
15. Changes to these terms
We may update these terms from time to time. The "last updated" date at the top reflects the most recent revision. Continued use of our website or services after changes constitutes acceptance of the updated terms.
